EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THAT CLAUSE, YOU AND FLYWHEEL AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS ARBITRATION.
Purchasing the Flywheel At Home Bike
  • Guarantee. If you are not fully satisfied with your Flywheel At Home Bike (“Bike”), you can return it for a replacement or refund within thirty (30) days after you receive delivery. Because of the size and weight of our Flywheel At Home Bikes, you will still incur the shipping charges you paid to receive your Bike. You will also be charged an additional return shipping fee of no more than [maximum amount], depending on your location. This guarantee does not cover ordinary wear and tear or damage caused by improper use or accidents. If your item has a manufacturing defect with the original materials or original workmanship, you can return it at any time – subject to the terms of our limited warranty, below.
  • Warranty. All Flywheel At Home Bikes come delivered with a one (1)-year parts and labor warranty that covers the screen and Bike components. The Flywheel At Home Bike frame is covered for an additional five (5) year warranty. If a repair is needed during your coverage period, Flywheel will send a technician to repair the Bike. Warranties are non-transferrable. Warranty coverage is limited to the original Bike owner and to home usage within the continental United States.
  • Assembly. All Flywheel At Home Bikes are delivered and assembled by our professional in-home service. This service is provided for a flat fee of [$250] anywhere in the continental United States. Once you have completed your order, someone from our team will contact you to schedule your delivery. Our service professional will assemble the Bike in your home and ensure it operates properly. Assembly typically takes approximately [XX] minutes. Additional shipping charges may apply in certain U.S. states and territories outside the continental United States. We cannot currently deliver to locations outside of the United States.
  • Bike Set Up. When you first turn on your new Flywheel At Home Bike, you will be asked to log in using your Flywheel account email and password. All Bike owners automatically have a Flywheel account created for them during checkout. To set up your password, click [LINK] and enter the email that you used to purchase your Bike. If you forget your password, click [LINK] and enter your email address. You will receive an email with instructions on how to reset your password. If your email was not used to purchase the Flywheel At Home Bike, you will need to register a Flywheel account at [LINK], or you can create a new account on your Flywheel At Home Bike.
  • Subscription Activation. Subscription activation must be done on your Flywheel At Home Bike. To activate your Subscription, log in to your Bike with the email used to purchase your Bike and your password. For more information on subscription activation and services, please read below [include hyperlink].
  • Connecting Your Flywheel At Home Bike. When you set up your Bike, you will first be asked to connect to your home wireless network. If your network has a password, you will need it to connect. The Flywheel At Home Bike requires a strong internet connection to stream high definition video. We therefore recommend that you place your Bike as close to your router as possible for the strongest connection. We also recommend connecting to the main router in your home and disabling any additional networks to prevent interference. If you have a problem connecting your Bike to your wireless network, we recommend you restart both your Bike and your router.
  • You will need to have appropriate wireless speed to experience the best ride on your Flywheel At Home Bike. We recommend a connection speed of [tech to provide number] megabits per second (Mbps). In urban areas with high WiFi density, you may need to prevent interference with an even stronger wireless connection. [Are we going to provide users with the ability to test their Internet connection? If so, describe process here. If not, omit]
  • If you have connectivity issues between the Bike and the wireless connection in your home, we suggest using an Ethernet cable to connect your Bike to an internet outlet to ensure a seamless and uninterrupted ride. The back of the touchscreen has a space for an Ethernet cable, allowing you to connect directly if you so desire.
  • Financing. If you finance the purchase of the Flywheel At Home Bike, you agree to abide by the terms of the financing agreement that governs your purchase.
Subscription Coverage and Billing Cycle
  • Subscriptions. By purchasing a Bike, you will also need to purchase a Flywheel At Home Subscription (“Subscription”) to use with your Bike. With the Subscription, you receive full access to all of Flywheel At Home’s available classes, content, and features (the “Flywheel At Home Services”). These Flywheel At Home Services are available on the Flywheel Bike to which the Subscription is attached for as long as that Subscription is active. The account holder of the Subscription is the person who originally purchased or signed up for the Subscription account (the “Subscription Holder”). As a Subscription Holder, you may use one or more Flywheel At Home Subscription on each bike. It is not possible, however, to use one Subscription on multiple bikes.
    • Subscription Coverage. The Subscription Holder is the person responsible for all activity under the Subscription. Other users in the household will have the same access to the Flywheel At Home Services that the Subscription Holder enjoys.
    • A Flywheel At Home Subscription will provide you with unlimited access to Flywheel’s growing library of live streaming and on-demand classes, real-time performance tracking, and unlimited accounts for other users in the household.
    • Billing Cycle. Billing for Flywheel At Home Subscriptions begins upon purchase of the Subscription and recurs every thirty (30) days thereafter. More information about billing and cancelation of the Flywheel At Home Subscription is available below [include hyperlink to section].
Account Registration
  • Account Registration. When you complete the Flywheel account registration process, you become a “Flywheel Member.” You can register by (i) successfully completing a Flywheel purchase, (ii) creating an account on [WEBSITE], or (iii) creating an account on the Flywheel At Home bike. You will be asked to choose a unique username and password for your account. You must be 18 years or older to be a Flywheel Member.
  • All information that you provide to Flywheel must be accurate, including your name, address, credit or debit card numbers and expiration dates, and any payment information ("Account Information"). You are responsible for keeping your Account Information up-to-date and must promptly provide changes to your account at [WEBSITE]. Flywheel’s use of your Account Information is governed by our privacy policy, which is available at [LINK].
Commitment and Prepaid Periods
  • The Flywheel At Home Subscription costs $XX.00/month [or every thirty (30) days] and comes with a minimum [XX month] commitment. Information about billing and cancelation of the Flywheel At Home Subscription is available below [include hyperlink to section].
  • Commitment Period. When you first sign up for a Flywheel At Home Subscription, you agree to a specific price and plan, which includes a set commitment period term of [XX months](“Commitment Period”). You agree to maintain your Subscription for the Commitment Period. The price available with your Subscription plan is valid until the Commitment Period expires, at which time your Subscription price may revert to the then-existing price for your Subscription level. After your Commitment Period, you can cancel and restart your Subscription at any time.
  • Prepaid Period. When you first sign up for a Flywheel At Home Bike Subscription, you may prepay for one or more months of your Subscription (“Prepaid Period”). At the conclusion of your Prepaid Period, your Subscription will continue on a month-to-month basis.
  • Promotions/Discounts: Flywheel may offer promotions or discounts related to Subscriptions. Please read the details of those offers carefully. All promotions or discounts that require a payment are non-refundable and any free month offerings are in addition to the Commitment Period, unless otherwise specified in writing.
Payment
  • SUBSCRIPTION CHARGES WILL BEGIN AT THE TIME OF PURCHASE AND RECUR MONTHLY [EVERY THIRTY (30) DAYS] UNTIL CANCELLED BY THE SUBSCRIPTION HOLDER IN ACCORDANCE WITH OUR CANCELLATION POLICY [LINK] STATED BELOW. SUBSCRIPTIONS BEGIN AT THE TIME OF PURCHASE (AND NOT AT THE TIME OF FIRST USE). PAYMENTS WILL BE CHARGED AUTOMATICALLY AND ON APPROXIMATELY THE SAME DAY OF THE MONTH THAT THE SUBSCRIPTION COMMENCED AND ORIGINAL SUBSCRIPTION PAYMENT WAS MADE (the “Billing Date”).
  • Billing dates cannot be moved to a different day of the month. If payment does not process successfully, the Subscription will automatically become inactive until payment is made. Any lost time that results from payment processing failures will not be reimbursed or credited. Cancelling a Subscription before the end of the Commitment Period does not relieve the Subscription Holder of payment through the Commitment Period.
  • Flywheel reserves the right to increase its monthly Subscription payments from time to time, and will provide Subscription Holders written notice in advance of any increase and the opportunity to cancel their Subscription once the increase is instated. Subscription Holders who choose to continue their Subscription will be charged the increased amount in the next billing cycle after the increase has been implemented.
  • Form of Payment. All Subscription payments are payable by electronic funds transfer from the Subscription Holder’s credit card account or debit card account. Subscription payments may not be split between multiple cards, and processed payments may not be refunded in order to charge payment to a different card. Subscription Holders must authorize payments to be made through a third party administered electronic funds transfer system. Subscription Holders maintain full control and privacy over their account at all times.
  • Payment Agreement. You hereby authorize Flywheel to charge your credit card in advance and without further notice on a monthly [thirty (30) day] basis for the Subscription you selected. You hereby authorize Flywheel to charge and/or place a hold on your credit card with respect to any unpaid charges for Subscriptions. You authorize the issuer of the credit card to pay any amounts described herein without requiring your signature. Also, you agree that this Agreement shall be accepted as authorization to the issuer of the credit card to pay any amounts described herein without requiring your signature, and you agree that this Agreement shall be accepted as authorization to the issuer of the credit card to pay all such amounts. You authorize Flywheel and/or any other company who acts as billing agent for Flywheel, to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, to your credit card until such amounts are paid in full. You agree to provide Flywheel with updated credit card information upon Flywheel’s request and any time the information you previously provided is no longer valid. You acknowledge and agree that neither Flywheel, nor any Flywheel affiliated company, will have any liability whatsoever for any non-sufficient funds or other charges incurred by you as a result of such attempts to charge, and/or place holds on, your credit card. If you provide a debit card number, instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number.
  • Bill Inquiries and Refunds. If you believe you have been billed in error for the Subscription or any portion thereof, please notify us within 60 days of the billing date by contacting Flywheel Support at [ADD NUMBER] or by sending an email to [ADD EMAIL]. Flywheel will not issue refunds or credits after the expiration of this 60-day period, except where required by law or regulation.
Termination or Cancellation or Refunds of Subscription
  • Cancellation of Subscription. Subscription Holders may cancel their Subscriptions after the Commitment Period, by providing written notice to help@flywheelsports.com or by notifying us through the “Contact Us” form on the Flywheel Website. After providing such notice, a Subscription Holder will be charged one additional time, with the Membership terminating thirty (30) days after the final payment date. Subscription Holders who wish to cancel their Subscription should notify Flywheel before the billing date that corresponds to their final month [thirty (30) days] of Membership to avoid unwanted payments. Subscription payments will not be prorated based on the date of cancellation. Subscription payments are non-refundable.
  • You agree that if you cancel your Subscription before the end of the Commitment Period, you will be charged the remaining balance on the Commitment Period. If you are canceling on behalf of a Subscription Holder who is deceased, you may cancel the Subscription without early termination fees applying upon providing appropriate documentation.
  • Cancellation within the Refund Period. If you are not satisfied with your Flywheel At Home bike, you can return it within 30 days upon receipt (the “Refund Policy”). If you terminate and return your Flywheel At Home bike in accordance with the Refund Policy, any associated Subscription fees will be fully refunded to you. Flywheel’s guarantee doesn’t cover ordinary wear and tear or damage caused by improper use or accidents subject to the terms of our limited warranty. Because of the size and weight of the Flywheel bike, we do not offer a refund for any shipping charges you may have paid to receive your bike. Returns will be charged an additional return shipping fee of not more than [$250], depending on your location. If your bike is returned in damaged condition or with missing parts, you may be charged an additional fee. Returns may be initiated by emailing [ADD EMAIL].
  • Suspension/Termination by Flywheel. Flywheel may immediately terminate or suspend your Account, and all or a portion of your Subscription without notice if: (a) your payment is more than [15] days overdue; (b) you provide false or inaccurate information to Flywheel; (c) you violate these At Home Terms and Conditions, Flywheel’s Terms of Service or any other Flywheel rules, regulations, policies or agreements then in effect; (d) you engage in conduct that is a violation of any law or regulation (including, without limitation, copyright or other intellectual property laws); or (e) if you engage in conduct that is threatening, abusive or harassing to Flywheel employees, including, for example, making threats to physically harm or damage employee or company property.
  • If Flywheel terminates or suspends your Subscription, your license to use any software provided in connection with the Subscription is also terminated or suspended (as applicable). If your Subscription is terminated, Flywheel has the right to immediately delete all data, files, and other information stored in or for your account without further notice to you. You must pay all charges for the Subscription through the date of termination. Should you wish to resume your Subscription after any suspension, a restoration of service fee may apply. This fee is in addition to all past due unpaid charges and other fees.
Flywheel Intellectual Property
  • You acknowledge and agree that the Flywheel At Home Services, and any related intellectual property rights contained therein are owned by Flywheel Sports, Inc. or its affiliates, licensors or suppliers. By accepting these Terms, you expressly agree that you will do nothing inconsistent with Flywheel’s ownership of the Flywheel At Home Services, and that you gain no rights, title, or interest in or to any Flywheel At Home Services, except as expressly stated in these Terms. Further, except as expressly set forth in these Terms, you are not conveyed any right or license by implication, estoppel, or otherwise in or under any patent, trademark, copyright, or other proprietary right of Flywheel or any third party.
  • For any Flywheel At Home Services that allow you to use any software, content, or other materials owned or licensed by Flywheel, Flywheel grants Subscription Holders a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the specific Flywheel At Home Services, and any related software, content, or other materials for Subscription Holders’ personal, non-commercial use only.
  • Through accepting these Terms, you expressly agree that you will not: (i) circumvent or disable any technology used with any Flywheel At Home Services; (ii) reverse engineer, disassemble, decompile or otherwise reduce any Flywheel At Home Services to a human-readable form; (iii) remove copyright, identification, or any other ownership notices on or in the Flywheel At Home Services; (iv) access or use any Flywheel At Home Services in an unlawful or unauthorized manner including in a manner that suggests an association with our content, products, services or brands; (v) use, alter, copy, modify, store, sell, reproduce, distribute, republish, download, publicly perform, display, post, transmit, create derivative works of, or exploit any Flywheel At Home Services or any part thereof, except as expressly authorized in these Terms; (vi) introduce a virus or other harmful component, or otherwise tamper with, impair or damage any Flywheel At Home Services or connected network, or interfere with any person or entity’s use or enjoyment of any Flywheel At Home Services; (vii) access, monitor, or copy any element of the Flywheel At Home Services using any automated means or manual process without our express written permission; or (viii) make commercial use of the Flywheel At Home Services, including selling or reselling such services, unless Flywheel has provided you with prior written notice that you may engage in such activity.
Insurance Coverage For Flywheel At Home Subscription
  • Some insurance companies may compensate Subscription Holders for their Flywheel At Home Subscription. Insurance coverage varies by plan, so you might need to contact various providers regarding coverage. Flywheel is not responsible for any insurance coverage, which is strictly and solely the responsibility of the Subscription Holder.
Limitation of Liability
  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO WARRANTY OF ANY KIND IN CONNECTION WITH YOUR SUBSCRIPTION OR BIKE. UNDER NO CIRCUMSTANCES WILL WE BE HELD LIABLE FOR ANY DIRECT OR INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE IN CONTRACT, TORT (INCLUDING NEGLIGENCE), UNDER ANY STATUTE OR LAW OR OTHERWISE ARISING OUT OF OUR BREACH OF THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF OCCURRENCES WHICH WOULD OR MIGHT LEAD TO SUCH LOSS OR DAMAGES. IF WE ARE HELD LIABLE FOR ANY DAMAGES RELATED TO YOUR SUBSCRIPTION OR BIKE, YOUR SOLE AND EXCLUSIVE MAXIMUM REMEDY WILL BE LIMITED TO REIMBURSEMENT OF ANY SUBSCRIPTION OR BIKE FEES ACTUALLY PAID TO US.
Arbitration Agreement; Class Waiver; Jury Waiver
  • PLEASE READ THE FOLLOWING ARBITRATION AGREEMENT CAREFULLY BECAUSE IT REQUIRES YOU AND FLYWHEEL TO AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, UNLESS OTHERWISE NOTED.
    1. Applicability of Arbitration Agreement. All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) in connection with the Terms which cannot be resolved informally or in small claims court shall be resolved, to the extent permitted by applicable law, by binding arbitration on an individual basis under the terms of this Arbitration Agreement. This Arbitration Agreement applies to you and Flywheel, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.
    2. Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute (“Notice”) describing the nature and basis of the claim or dispute, and the requested relief. A Notice to Flywheel should be sent to: Flywheel Sports, 53 West 23rd St, 9th Floor, New York, New York 10010, Attention: Legal. After the Notice is received, you and Flywheel may attempt to resolve the claim or dispute informally. If you and Flywheel do not resolve the claim or dispute within 30 days after the Notice is received, either party may begin an arbitration proceeding. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award, if any, to which either party is entitled.
    3. Arbitration Rules. Arbitration shall be initiated through the American Arbitration Association (“AAA”), an established alternative dispute resolution provider (“ADR Provider”) that offers arbitration as set forth in this section. If AAA is not available to arbitrate, the parties shall agree to select an alternative ADR Provider. The rules of the ADR Provider shall govern all aspects of this arbitration, including but not limited to the method of initiating and/or demanding arbitration, except to the extent such rules are in conflict with the Terms. The AAA Consumer Arbitration Rules (“Arbitration Rules”) governing the arbitration are available online at www.adr.org or by calling the AAA at 1-800-778-7879. The arbitration shall be conducted by a single, neutral arbitrator. Any claims or disputes where the total amount of the award sought is less than ten thousand U.S. Dollars (US $10,000.00) may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount of the award sought is ten thousand U.S. Dollars (US $10,000.00) or more, the right to a hearing will be determined by the Arbitration Rules. Any hearing will be held in the city of New York, New York, unless the parties agree otherwise. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
    4. Additional Rules for Non-Appearance Based Arbitration. If non-appearance arbitration is elected, the arbitration shall be conducted by telephone, online, and/or based solely on written submissions; the specific manner shall be chosen by the party initiating the arbitration. The arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties.
    5. Authority of Arbitrator. If arbitration is initiated, the arbitrator will decide the rights and liabilities, if any, of you and Flywheel, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the AAA Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Flywheel.
    6. Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement, excluding claims for injunctive or other equitable relief as set forth below. Arbitration procedures are typically more limited, more efficient, and less costly than court proceedings and are subject to very limited review by a court. In the event any litigation should arise between you and Flywheel in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND FLYWHEEL WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.
    7. Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.
    8. Severability. If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed, and the remainder of the Arbitration Agreement shall continue in full force and effect.
    9. Right to Waive. Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted. Such waiver shall not waive or affect any other portion of this Arbitration Agreement.
    10. Survival of Agreement. This Arbitration Agreement will survive the termination of your relationship with Flywheel.
    11. Small Claims Court. Notwithstanding the foregoing, either you or Flywheel may bring an individual action in small claims court.
    12. Equitable Relief. Notwithstanding the foregoing, either party may seek equitable relief before a court of competent jurisdiction for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents or emergency equitable relief before a court of competent jurisdiction in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.
Governing Law, Venue And Jurisdiction
  • To the extent the parties are permitted under these Terms to initiate litigation in court, both you and Flywheel agree that all claims and disputes, including statutory claims and disputes, arising out of or relating to the Terms shall be governed in all respects by the substantive law of the state of New York, without regard to its conflict of law principles. You and Flywheel hereby consent to submit to the jurisdiction of the federal and state courts sitting in the State of New York for any actions, suits or proceedings arising out of or relating to the Terms that are not subject to the Arbitration Agreement.
Entire Agreement
  • These At Home Terms and Conditions, Flywheel’s Terms of Service, and any other rules, policies and regulations of Flywheel Sports, as revised from time to time, constitute the entire and exclusive agreement between the parties, and supersede all prior promises, representations, understandings and/or agreements. This agreement may be modified only by an instrument in writing and only by Flywheel Sports.
  • Flywheel reserves the right to amend these At Home Terms and Conditions at any time and without notice, and it is your responsibility to review these Terms for any changes. Your use of the Flywheel At Home Bike or Services following any amendment of these Terms will signify your assent to and acceptance of its revised terms.
